Terms and Conditions

1.- Prior information

These General Terms and Conditions govern the provision of educational and training services in business and finance (hereinafter, “Services”) to Users by MS Academy Learning Solutions (hereinafter, “MS ACADEMY”), with Tax Identification Number B75319871, and professional address at Calle Serrano, 93, 3ºE, 28006, Madrid

For the purposes of these Terms and Conditions, the term User (hereinafter, “User”) shall be understood to mean any individual who contracts the Services of MS Academy as a consumer, that is, for a purpose unrelated to his commercial, business, trade or profession.

Hereinafter, the User and MS ACADEMY will be referred to individually and interchangeably as “Party” and collectively as “Parties”.

2. Description of Services

The provision of the Services subject to regulation through these Terms and Conditions will be carried out through: (i) the organization of classes or training sessions (hereinafter, “Training Sessions”) and (ii) the provision to the User of content and study materials (hereinafter, the “Study Materials”).

In addition to the above, as part of the Services, MS Academy will make every effort to provide ongoing support to the User throughout their learning process by addressing any theoretical or practical questions they may have through the WhatsApp Group (hereinafter, the “WhatsApp Group”), which consists of a specialized instructor and each participant in the training sessions. This WhatsApp Group will be created as soon as a group of students with similar knowledge and characteristics is formed for the training sessions and will serve to facilitate communication between the academy, the instructor responsible for the learning, and the students in each group.

The duration of the service provision period by MS Academy, as well as the course or program chosen for the User's training, will be agreed upon between the User and MS Academy at the start of the service provision. However, these circumstances may be modified (for example, to lengthen or shorten the service period) at any time by mutual agreement between the User and MS Academy.

2.1. Training sessions

The training sessions will last 2 hours and will consist of a maximum of 4 people with similar backgrounds and knowledge to the User (hereinafter, “Student Group”). Both the duration and the number of participants in each session may be modified by mutual agreement between the User and MS Academy.

Unless otherwise agreed, the training sessions will be delivered remotely via an online video call platform and the access link for each session will be communicated prior to its start via the WhatsApp Group.

On the other hand, one class per week will be taught throughout the entire period of service provision. However, this frequency may be modified to increase or decrease at any time by agreement between the User and MS Academy.

2.2. Study Materials

MS ACADEMY provides the User with a wide variety and quantity of Study Materials organized and suitable to promote User learning in the context of the chosen course or program.

MS Academy grants the User a limited, non-exclusive, non-sublicensable, and revocable license to use, view, and download, where applicable, the Study Materials solely for personal and non-commercial purposes. The User's use of the Content and materials will always be personal and non-transferable in accordance with the Terms and Conditions.

The use of Study Materials for any purpose other than the educational and training purpose intended by the User, which MS Academy intends by making them available, is expressly prohibited.

3.- User Obligations

The User agrees to act appropriately at all times in the context of the provision of the Services and will refrain from engaging in inappropriate behavior, such as disturbing, hindering or preventing the learning of other MS Academy students.

MS ACADEMY reserves the right to exclude from the Training Sessions or interrupt the provision of Services to any User who does not comply with the provisions of these Terms and Conditions or with applicable current legislation.

4.- Payment methods

MS ACADEMY informa al Usuario of que, a cambio of cada sesión formativa impartida in the contexto of the Servicios, the Usuario deberá pagar a MS Academy the tarifa que corresponda of conformidad with the tarifas aprobadas for the trimestre of the curso vigente que MS Academy pondrá a disposición of the Usuario.

A través of the presente disposición se informa al Usuario of que the tarifas referidas anteriormente únicamente serán válidas for the trimestre in curso, pudiendo sufrir variaciones al finalizar este periodo. MS Academy pondrá a disposición of the Usuario a hoja informativa with the tarifas aplicables for cada nuevo trimestre antes of the comienzo of éste.

The pago of the Programa podrá realizarse mediante bizum al teléfono que será especificado al teléfono que será especificado al Usuario, mediante transferencia bancaria a the siguiente cuenta que será especificada al Usuario, a través of TPV Virtual or por cualquier otro medio legal que ambas partes acuerden.

5.- Returns and refunds

The User is informed that, in accordance with article 103 m) of Royal Legislative Decree 1/2007, of November 16, which approves the consolidated text of the General Law for the Defense of Consumers and other complementary European regulations, the user will not have the right to withdraw from the Services or to any type of refund once access to the Study Materials has been provided, a Training Session has been held and/or the WhatsApp Group has been established.

6.- Propiedad Intelectual e Industrial

In the context of providing the Services, MS Academy will provide the User with access to a wide variety of content (including, but not limited to, images, texts, logos, diagrams, and designs) and Study Materials owned by MS Academy or by a third party that has authorized their use. This Agreement does not grant any ownership rights with respect to this content and Study Materials, nor any right to use them other than that strictly necessary for the User's learning in accordance with the instructions provided by the Instructor and within the context of the provision of training Services governed by these Terms and Conditions.

Given this, and by virtue of the provisions of Royal Legislative Decree 1/1996, of April 12, which approves the consolidated text of the Intellectual Property Law, regulating, clarifying and harmonizing the current legal provisions on the matter (hereinafter, “Intellectual Property Law”), as well as Law 17/2001, of December 7, on Trademarks and the complementary legislation on intellectual and industrial property, the total or partial reproduction, use, exploitation, transmission, adaptation, translation, distribution, public communication, including its modality of making available and commercialization, of all or part of the contents or Study Materials, in any medium and by any technical means, is expressly prohibited when it is not strictly intended to fulfill the learning purpose of the User in the context of the provision of the Services by MS Academy, unless expressly authorized otherwise in writing by MS ACADEMY and/or the third party holding the Intellectual or Industrial Property right.

The User agrees to respect the Intellectual and Industrial Property rights held by MS ACADEMY and any third party that may hold any rights in this matter with respect to the materials and documentation made available to the User in the context of the provision of the Services.

7.- Responsibility and Guarantees

MS ACADEMY informs Users that all business, legal, or financial information, including but not limited to text, graphics, images, and other content in the materials provided or in training sessions, is for informational and educational purposes only. Therefore, MS Academy does not guarantee the accuracy, truthfulness, usefulness, or suitability of the information provided in specific contexts other than those for which it is intended.

In light of the above, MS ACADEMY is not responsible for the decisions that the user makes based on the information provided or the content accessed through the program regarding specific and particular situations and contexts that present conditions that have not been taken into consideration when presenting the content or information of the program.

MS Academy also informs users that its Services are not intended to, and cannot, replace professional, legal, financial or tax advice that the User may require in the context of a particular real situation.

MS Academy makes every effort to keep its materials up-to-date. However, the topics covered in the materials may be subject to unexpected and rapid changes. Therefore, it is possible that, in exceptional cases, MS Academy may provide access to materials with partially outdated aspects. In such cases, users should pay close attention to their instructor's instructions to be aware of this and any relevant updates.

8.- Protección of Datos

MS ACADEMY respeta the privacy of the Usuarios and se asegurará of que the datos personales se procesan of acuerdo with the legislación vigente.

MS ACADEMY garantiza the seguridad and confidencialidad of the datos personales facilitados por the Usuarios in cumplimiento of lo dispuesto in the Reglamento 2016/679 of 27 of abril of 2016 relativo a the protección of the personas físicas in lo que respecta al tratamiento of datos personales and a the libre circulación of estos datos (in adelante “RGPD”) and demás legislación aplicable in subject of privacy.

In este sentido, MS Academy informa a the usuarios of que tratará the siguientes categorías of datos personales of datos personales of the Usuarios:

Datos of identificación: nombre and apellidos and número of identificación personal (DNI, NIE or número of pasaporte);
Datos of contacto: número of teléfono, dirección postal and dirección of correo electrónico.

Estas categorías of datos personales serán tratadas exclusivamente with the finalidad of garantizar the prestación of the servicios pactados of conformidad with the presente contrato and se conservarán durante the tiempo que sean necesarios for the prestación of the servicios descritos in the presente contrato or for cualquier another finalidad asociada with the ejecución of este contrato. Trascurrido este periodo, MS Academy procederá a the supresión of estos datos or a su bloqueo of conformidad with the legislación aplicable.

The base of legitimación for the tratamiento of estos datos personales será the ejecución of the presente contrato, of conformidad with lo dispuesto in the artículo 6.1.b of the RGPD.

The base of legitimación for incluir al Usuario in the Grupo of WhatsApp será the consentimiento proporcionado por the Usuario. A través of the presente disposición se informa al Usuario of que al consentir ser añadido al Grupo of WhatsApp, the Usuario consiente que the resto of compañeros of the class and su teacher puedan conocer the número of teléfono of the usuario, acceder a su foto of perfil of WhatsApp and a toda información personal que este haga pública a través of esta red social or of the grupo referido anteriormente.

A través of the presente disposición, MS Academy informa al Usuario of que sus datos not serán comunicados a terceros ni serán objeto of transferencias internacionales without the consentimiento of the usuario.

Además, se informa a the Usuarios of que MS Academy dispone of mecanismos for garantizar the ejercicio of sus derechos of conformidad with the RGPD in subject of privacy, a saber,

Acceso a sus datos personales;
Solicitar the rectificación of the datos inexactos;
Solicitar the supresión of sus datos;
Solicitar the limitación or restricción of the uso of sus datos personales;
Oponerse al tratamiento of sus datos;
Ejercer su derecho al olvido;
Solicitar the portabilidad of sus datos.
The Usuarios también tendrán derecho a not ser objeto of decisiones basadas únicamente in the tratamiento automatizado of datos.

The usuarios podrán ejercer sus derechos with respecto of sus datos personales a través of the envío of enviando a correo electrónico amanuel@msanchez.es, or bien, enviando a carta a the siguiente dirección: Calle Serrano, 93, 3º E. Madrid, España.

9.- Legislación and Jurisdicción aplicable

For the resolution of any discrepancy, issue or claim arising directly or indirectly from the interpretation or execution of these General Conditions, the parties submit to the jurisdiction of the Courts and Tribunals of the User's domicile.

Unless expressly provided otherwise by law, the Parties agree that this contract shall be governed by Spanish law.

In accordance with Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes, MS ACADEMY informs you that, in the event of a dispute, Users residing in the European Union may use the “Online Dispute Resolution Platform” developed by the European Commission, in order to attempt to resolve out of court any dispute arising from the provision of services by MS ACADEMY.

By checking the acceptance box of these Terms and Conditions, the User declares that he/she has read and accepted the content contained therein without reservation.
